WillScot (Williams Scotsman, Inc., and its subsidiaries, “we”, or “us”) provides this California Employee Privacy Notice (“Notice”) to notify job applicants, employees and contractors of our privacy practices as required by applicable law, including the California Consumer Privacy Act of 2018 (“CCPA”) as modified by the California Privacy Rights Act (“CPRA”). Certain terms used in this Notice have the meaning given to them in the CCPA/CPRA and their implementing regulations. WillScot is committed to protecting the privacy and security of your personal information. During business, WillScot asks job applicants, employees, and contractors to provide personal information that is necessary and related to your employment, prospective employment or relationship with us. “Personal Information” is information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual or household. This Notice describes how WillScot collects, uses, and retains your Personal Information, the instances where WillScot may disclose your Personal Information to third parties, and your privacy rights and choices under California law.
This Notice only applies to employees, contractors and job applicants who are residents of California, as well as to information provided to us about employees’ relatives or others that is used for emergency contact or benefits administration purposes. This Notice does not apply to the Personal Information of WillScot’s customers.
Collection and Retention of Personal Information
Our relationship with you requires us to gather and process certain Personal Information about you. We collect and process your Personal Information for human resources, employment, and benefits administration purposes, to communicate with you, and where necessary, to comply with any local, state, and federal legal obligations. WillScot obtains the categories of Personal Information and Sensitive Personal Information listed below directly or indirectly from you in the course of our pre-employment, employment, and contracting processes. In addition, we collect information in the following ways: directly or indirectly from your interactions with, and performance of services for, WillScot, including without limitation your interactions with WillScot websites, equipment, and devices; from third parties that interact with us or perform services on our behalf in connection with our pre-employment, employment and contracting processes or your interactions with WillScot websites, equipment and devices; and from public record sources.
As permitted by law, we collect, and within the last twelve (12) months may have collected, the following categories of Personal Information:
• Identifiers, such as your full name, gender, date of birth, and signature;
• Demographic data, such as race, ethnic origin, marital status, disability, and veteran or military status;
• Contact information, such as your home address, telephone numbers, email addresses, and emergency contact information;
• Dependent’s or other individual’s information, such as their full name, address, date of birth, and Social Security numbers;
• Educational and professional background, such as your work history, academic and professional qualifications, educational records, references, and interview notes;
• Employment details, such as your job title, position, hire dates, compensation, performance and disciplinary records, and vacation and sick leave records;
• Financial information, such as banking details, tax information, payroll information, and withholdings;
• Health and safety information, such as health conditions (if relevant to your employment), job restrictions, workplace illness and injury information, and health insurance policy information;
• Information systems information, such as your search history, browsing history, login information, and IP addresses on WillScot’s information systems and networks;
• Geolocation data, such as time and physical location related to use of an internet website, application, device, or physical access to a WillScot office location;
• Sensory or surveillance information, such as employee photographs as well as call monitoring and video surveillance;
• Profile or summary about an applicant/employee’s preferences, characteristics, attitudes, intelligence, abilities, and aptitudes; and
• Sensitive Personal Information, such as racial/ethnic origin; social security number, driver’s license or state identification number, passport or visa information, citizenship/immigration status and documents, and other government identifiers; and precise geolocation when driving as a WSMM employee/contractor or when you opt in.
We also may collect information relevant to the COVID-19 pandemic, such as your vaccination status, copies of your vaccination card, health screening questions of whether you are experiencing related symptoms, whether you have been quarantined or selected to self-quarantine, whether you have been tested for COVID-19 and the date and results of any such test, and the date you returned to work after any COVID-19 related absence.
WillScot will generally retain the above categories of Personal Information and Sensitive Personal Information for seven (7) years after your employment has ended, unless legally required to retain it for a longer or shorter period. In the case of a job applicant who is not hired by WillScot, we will retain the Personal Information for four (4) years unless legally required to retain it for a longer or shorter period. If there is any information that we are unable, for technical reasons, to delete entirely from our systems, we will put in place appropriate measures to prevent any further processing or use of the data.
Purposes for Collecting and Processing Personal Information
We collect and process Personal Information and Sensitive Personal Information for the following purposes:
• Complying with all applicable laws and regulations;
• Recruiting and evaluating job applicants and candidates for employment;
• Conducting background checks and verifying employment eligibility;
• Managing your employment relationship with us, including for—onboarding processes; timekeeping, payroll, and expense report administration; employee benefits administration; employee training and development requirements; the creation, maintenance, and security of your online employee accounts; reaching your emergency contacts when needed, such as when you are not reachable or are injured or ill; workers’ compensation claims management; employee job performance, including goals and performance reviews, promotions, discipline, and termination; and other human resources purposes;
• Managing and monitoring employee access to WillScot facilities, equipment, devices and systems;
• Conducting internal audits and workplace investigations;
• Investigating potential breaches of and enforcing compliance with WillScot policies and procedures;
• Engaging in corporate transactions that require review of employee records, such as for evaluating potential mergers and acquisitions of WillScot;
• Maintaining commercial insurance policies and coverages, including for workers’ compensation and other liability insurance;
• Performing workforce analytics, data analytics, and benchmarking;
• Administering and maintaining WillScot’s operations, including for safety purposes;
• Exercising or defending the legal rights of WillScot and its employees and affiliates, customers, contractors, and agents; and
• Such other purposes as are necessary or reasonable in connection with your employment, or as described to you when collecting your Personal Information or subsequently agreed to by you, and as otherwise permitted under applicable law.
Disclosure of Personal Information
WillScot does not sell or rent your Personal Information or Sensitive Personal Information to unaffiliated third parties, such as sellers of goods or services, for their own business or commercial purposes. WillScot also does not share your Personal Information or Sensitive Personal Information for advertising purposes. WillScot will only disclose your Personal Information to:
• Affiliates and Subsidiaries. We may disclose Personal Information in the operation of our businesses.
• Our Service Providers. We employ third party service providers to perform tasks on our behalf and to assist us in our human resource operations and benefits administration. For example, we engage third parties to provide IT systems, facilitate payroll, perform accounting, tax and legal services, and for other functions relating to the purposes for which we process Personal Information about you.
• Companies Involved in Merger and Acquisition Transactions. If we sell or otherwise transfer part or the whole of our business or assets to another organization (e.g., in the course of a transaction like a merger, acquisition, bankruptcy, dissolution, or liquidation), any information we maintain, including Personal Information, may be among the items transferred.
• Law Enforcement, Government Agencies, and Courts. We may disclose Personal Information to law enforcement or government agencies, whether or not in response to subpoenas, court orders, or other formal requests or legal processes, to establish, protect, or exercise our rights or to defend against a legal claim or as otherwise required or allowed by law, or to protect the rights, property, or safety of any other person. We may also disclose Personal Information to investigate or prevent a violation by you of WillScot Mobile Mini policy or law.
In the last twelve (12) months, we may have disclosed the following categories of Personal Information to our service providers in connection with human resources activities and benefits administration (including for payment of wages, tax processing and health insurance) or otherwise for the business purposes described in this Notice: (i) personal identifiers; (ii) demographic information; (iii) financial information; (iv) employment benefits information; and (v) professional/employment-related information.
Please be advised that disclosure of COVID-19-related information to management and employees at locations where an employee tests positive will be made to the extent necessary so that other employees in contact may self-isolate, monitor symptoms and/or get a COVID-19 test for sanitizing purposes, or to report to relevant authorities.
Privacy Rights and Choices
If you are a California resident, you have the right to:
1. Request that we disclose to you the following information covering the 12 months preceding your request:
a. the categories of Personal Information that we have collected about you;
b. the categories of sources from which the Personal Information was collected;
c. the purpose for collecting your Personal Information;
d. the categories of third parties to whom we disclosed your Personal Information, the categories of Personal Information that we disclosed (if applicable) and the purpose for disclosing your Personal Information; and
e. the specific pieces of Personal Information we collected about you (also referred to as a “data portability” request);
2. Request that we correct or delete Personal Information we collected from you (note that any deletion request may be rejected or limited by WillScot Mobile Mini’s rights and legal obligations under the CCPA, CPRA and/or other applicable federal and/or state law);
3. Limit the use and disclosure of Sensitive Personal Information; and
4. Be free from unlawful discrimination or retaliation for exercising your rights under the CCPA/CPRA.

Only you, or a person legally authorized to act on your behalf, may make a verifiable request related to your Personal Information. You may also make a verifiable request on behalf of your minor child.
You may only make a request for access or data portability twice within a 12-month period. Your request must (1) provide sufficient information that allows us to reasonably verify you are the person about whom we collected Personal Information or an authorized representative, and (2) describe your request with sufficient detail that allows us to properly understand, evaluate and respond to it. We cannot respond to your request or provide you with Personal Information if we cannot verify your identify or authority to make the request and confirm the requested Personal Information relates to you. Making a verifiable request does not require you to create an account with us. We will only use personal information provided in a request to verify the requester’s identity or authority to make the request.
Any disclosures we provide will only cover the 12-month period preceding our receipt of the request. The response we provide will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide your Personal Information that is readily useable and should allow you to transmit the information from one entity to another entity without hindrance.
We do not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request.
We will not discriminate or retaliate against you for exercising any of your rights under California law. However, we may offer you certain financial incentives permitted under California law. Any legally-permitted financial incentive we offer will reasonably relate to your Personal Information’s value and contain written terms that describes the program’s material aspects. Participation in a financial incentive program requires your prior opt-in consent, which you may revoke at any time.
Monitoring
In accordance with our cybersecurity practices and applicable law, we monitor the use of, and the data traffic generated by or through, WillScot information systems, networks, and devices for safety and business compliance and continuity purposes during your employment. Due to such monitoring, please be aware that the content or messages generated or received on our information systems may not be private.
Data Security
We take the security of Personal Information seriously. We have internal procedures and controls in place to protect Personal Information against loss, accidental destruction, misuse, or unauthorized access and disclosure.
Changes To This Privacy Notice
We reserve the right to amend this Notice at any time, for any reason. If we make material changes to this Notice that impact how we process your Personal Information, we will notify you directly by e-mail.

OUR COMMITMENT TO PRIVACY
WillScot (Williams Scotsman of Canada, Inc. or “us” or “we”) is committed to maintaining the security, confidentiality and privacy of your Personal Information. This Employee Privacy Policy (“Policy”) has been developed in compliance with applicable privacy legislation. In the event of a conflict between this Policy and applicable legislation, the legislation will govern.
APPLICATION
This Policy applies to WillScot in respect of the collection, use, disclosure and retention of Employee Personal Information. This Policy does not apply to the collection, use or disclosure of any information that does not constitute Personal Information. In addition, any Personal Information that is collected, used, disclosed, or retained pursuant to the WillScot Driver Camera Policy (the “Driver Policy”) is governed by the Driver Camera Policy.
DEFINITIONS
“Business Contact Information” means information to enable an individual at a place of business to be contacted and includes the name, position name or title, duties, business telephone number, business address, business email or business fax number of the individual.
“Employee” means any full-time, part-time, temporary or permanent employee of WillScot.
“Personal Information” means any information about an identifiable individual but excludes Business Contact Information and (where permitted under applicable law) Work Product Information.
“Work Product Information” means information prepared or collected by an individual or group of individuals as a part of the individual's or group's responsibilities or activities related to the individual's or group's employment or business but does not include personal information about an individual who did not prepare or collect the personal information.
NOTICE
Why does WillScot collect, use or disclose Personal Information?
WillScot collects, uses and discloses Personal Information reasonably required to establish, manage and terminate the employment relationship in accordance with applicable law. This includes, but is not limited to, the following purposes:
• to make decisions about hiring (including employment history, reference checks, background checks or criminal record checks (where permitted by applicable law), academic history, driver licensing and history, promotions, transfers, assignments, rewards, recognition, incentives, remuneration and termination of employment);
• to verify information provided by or about Employees which is necessary to manage and administer the employment relationship;
• to administer the relationship with WillScot clients (“Clients”) and meet the contractual and business obligations of WillScot and its Clients;
• to process and administer payroll and to meet related regulatory and legal requirements and to address the requests of regulators (for example, Canada Revenue Agency requirements or licensing bodies);
• where applicable, to establish, administer and document training, development and educational requirements and programs, and certificates and accreditations relevant to an Employee’s work;
• to monitor, document, assess and address Employee performance, including discipline, letters of recommendation or complaint, or promotions;
• to deal with medical emergencies and to facilitate and maintain communications with Employees and their emergency contacts;
• to ensure safe operation of WillScot vehicles and equipment;
• to offer, determine eligibility for, provide and administer disability claims and other medical, dental, insurance, and other benefits for Employees and their dependants and spouses, and to meet the requirements of benefits providers;
• to determine eligibility for, provide and administer and document vacation leaves, sick days, leave of absence requests, and other leaves or absences from work;
• to monitor, assess and address Employee adherence to the terms and conditions of their employment, WillScot and Client policies, and applicable laws;
• to prevent theft, fraud and similar risks;
• to implement and manage WillScot and Client security and internal controls, which may include appropriate monitoring of communications such as email, internet and voicemail, and video surveillance;
• to maintain appropriate employee/employer communication;
• to manage and protect WillScot’s assets and property;
• to assist WillScot in any dispute involving WillScot and/or a Client and or/an Employee, including with respect to bringing or defending against complaints, claims or litigation;
• to investigate, manage and address legal matters such as harassment complaints, unlawful behaviour, criminal behaviour, fraud, civil claims, and insurance matters;
• to provide reference information to third parties regarding our current and former Employees, where authorized by the Employee;
• to provide information to third parties in connection with transactions that we contemplate or carry out;
• generally, to manage the employment relationship; and
• as otherwise required or authorized by applicable law.
As the employer, in most jurisdictions, WillScot has the right to collect, use and disclose Personal Information without consent (but with notice) where reasonably required to establish, manage and terminate the employment relationship. If and where required by applicable law, WillScot will obtain consent to collect Personal Information.
In certain jurisdictions, including Quebec, you may have the right to withdraw your consent to the communication or use of your Personal Information. Withdrawal of consent may, however, impact WillScot’s ability to continue offering certain benefits or advantages to you and, depending on the nature of the personal information, on WillScot’s ability to continue employing you.
What type of Personal Information does WillScot collect, use or disclose?
Personal Information collected, used or disclosed by WillScot for the purposes referred to above may include some or all of the following:
• An Employee’s name, home contact information, date of birth, Social Insurance Number (for income tax purposes), and information about spouses and dependents (for benefits purposes);
• An Employee’s contact information and medical information which might be required in emergencies;
• Hiring information, which may include an Employee’s application for employment, resume, covering letter, letters of reference, interview notes, driver’s license or history, background or criminal record checks and reference checks;
• Salary, pay level, authorized deductions, expense reports and other payroll information;
• Hours worked, vacation time, emergency time off, statutory leaves of absence and sick leave;
• Benefits information, including benefits enrolment forms, insurance coverage and claims;
• An Employee’s employment status and history, including positions held, evaluations, performance reviews, discipline, promotions/demotions, and awards or commendations earned;
• Information about medical conditions or disabilities that may require special equipment or other accommodation which an Employee may request;
• An Employee’s illnesses, injuries, medical conditions, functional capabilities, and applicable insurance and other benefits coverage;
• Information relating to employee adherence to Company policies;
• Information relating to security and internal control matters (e.g. technology system monitoring, video surveillance).
Where does WillScot disclose Personal Information?
WillScot may from time to time use third party service providers (“Service Providers”) for administrative purposes, such as to prepare, submit and maintain payroll and employee benefits and to store and maintain WillScot financial and accounting records which may include Personal Information. WillScot may also use Service Providers to maintain technology and business systems and which may include Personal Information.
Service Providers used by WillScot to store or process Personal Information for the purposes described in this Policy may be located in jurisdictions outside of your province of residence or outside of Canada, and applicable laws in those jurisdictions might permit foreign governments, courts, law enforcement or regulatory agencies to access, use or disclose the information in those jurisdictions.
We require all our third-party service providers, by written contract, to implement appropriate security measures to protect your Personal Information consistent with our policies and any data security obligations applicable to us. We do not permit our third-party service providers to use your Personal Information for their own purposes. We only permit them to use your Personal Information for specified purposes in accordance with our instructions.
WillScot may also disclose Personal Information where required or permitted by law, including to law enforcement agencies, industry associations or regulatory bodies.
WillScot may also disclose Personal Information for the following additional purposes where required or permitted by law:
• to other members of our group of companies (including outside your home jurisdiction) for the purposes set out in this Employee Privacy Policy and as necessary to administer the employment relationship;
• as part of our regular reporting activities to other members of our group of companies;
• to comply with legal obligations or valid legal processes. When we are required to disclose your personal information to comply with legal obligations or a legal process, we will take reasonable steps to ensure that we only disclose the minimum amount of Personal Information necessary for the specific purpose;
• during emergency situations or where necessary to protect the safety of persons;
• where the Personal Information is publicly available;
• if a business transfer, commercial transaction or change in ownership occurs; and
• for additional purposes with your consent where such consent is required by law.
Retention
We will keep Personal Information used to make a decision affecting you for at least one year after using it to make the decision, or for a longer period if required or permitted by the applicable legislation.
We will destroy, erase or make anonymous (to the extent permitted by applicable laws) documents or other records containing Personal Information as soon as it is reasonable to assume that the original purpose is no longer being served by retention of the information and retention is no longer necessary for a legal or business purpose.
We will take due care when destroying Personal Information so as to prevent unauthorized access to the information.
Employee Rights
• Right to access: You may have a right to access your Personal Information held by the Company, subject to your jurisdiction of residence. Where an access request is refused, we will notify you in writing, document the reasons for refusal and outline further steps which are available to you.
• Right to correct inaccurate information: You may have a right to request correction of inaccurate Personal Information that we have collected about you and to have such Personal Information corrected. If a challenge regarding the accuracy of your Personal Information is not resolved to your satisfaction, we will annotate the Personal Information under our control with a note that the correction was requested but not made.
Employees who are residents of the province of Québec may have the following rights with respect to their Personal Information, in addition to the rights identified above:
• Right to withdraw consent: Employees have the right to withdraw their consent to our use or disclosure of Personal Information, without affecting the lawfulness of any uses or disclosures made up until withdrawal. Withdrawal of consent does not create an obligation for us to delete Personal Information which we are otherwise allowed or required to retain under applicable law. If you withdraw your consent we may not be able to continue to employ you or to provide other benefits to you.
• Right to data portability: Employees may have the right to obtain a machine-readable copy of their Personal Information or to have us transfer it to another third party of their choice.
• Right to de-indexation: Employees may, in certain circumstances, have the right to request that we cease disseminating their Personal Information or to de-index any hyperlink that allows access to that Personal Information by technological means, if such dissemination contravenes applicable law or a court order.
Accuracy & Access
We will make a reasonable effort to ensure that Personal Information we are using or disclosing is accurate and complete. In some cases, we rely on you to ensure that certain information, such as your address, telephone number and emergency contact information is current, complete and accurate. You may have a right to access your Personal Information held by WillScot, subject to your jurisdiction of residence. Upon written request to WillScot at dataprivacyteam@willscot.com, we will provide you with access to your Personal Information under our control, information about the ways in which that information is being used and/or a description of the individuals and organizations to whom that information has been disclosed, as required by applicable law. WillScot reserves the right to charge a reasonable fee for the reproduction or transmission of such information where permitted and in accordance with applicable law. Where an access request is refused, we will notify you in writing, document the reasons for refusal and outline further steps which are available to you. If you demonstrate the inaccuracy or incompleteness of your Personal Information, we will amend the information as required. If appropriate or required by law, we will send the amended information to third parties to whom the information has been disclosed. When a challenge regarding the accuracy of Personal Information is not resolved to your satisfaction, we will annotate the Personal Information under our control with a note that the correction was requested but not made.
How does WillScot protect Personal Information?
WillScot protects the Personal Information in its custody or control by making reasonable security arrangements to prevent unauthorized access, collection, use, disclosure, copying, modification, disposal or similar risks. Any Employee who is aware of, or who suspects, that there has been an unauthorized collection, use, or disclosure of Personal Information should immediately contact WillScot at dataprivacyteam@willscot.com. Any Employee who accesses, collects, uses or discloses Personal Information without authorization will be subject to discipline, up to and including termination of employment.
